These Self-Serve Subscription and Payment Terms (the “Self-Serve Terms”) apply when a customer subscribes to the Port Platform online through Port's website or application, without a separately signed Order (a “Self-Serve Plan”). By ticking the acceptance box and completing checkout, the person subscribing (“Customer”) agrees to these Self-Serve Terms and to the documents incorporated in Section 1.
1. Agreement Structure
1.1 Incorporated documents. These Self-Serve Terms and the Checkout Order form part of the Agreement (as defined in the MSA), together with: (a) Port's Master Services Agreement at https://www.port.io/legal/master-services-agreement (the “MSA”); (b) the Usage Limitations at https://www.port.io/legal/usage-limitations (the “Usage Limitations”); and (c) the plan description and rates shown at checkout and on Port's pricing page at https://www.port.io/pricing at the time of purchase or renewal (the “Plan Details”). The SLA, the AI Terms and the DPA apply as provided in the MSA. Capitalized terms not defined here have the meaning given in the MSA, the SLA, or the Usage Limitation.
1.2 Checkout confirmation is the Order. The plan selection and confirmation completed by Customer at checkout, as reflected in the confirmation email and receipt (the “Checkout Order”), constitutes the “Order” for purposes of the MSA, the SLA and the Usage Limitations. The “Effective Date” is the date Customer accepts these Self-Serve Terms at checkout.
1.3 Order of precedence. Notwithstanding Section 15 of the MSA, in the event of conflict between these documents with respect to the Self-Serve Plan, Fees, billing, payment, renewal, cancellation, suspension for non-payment, and notices, the following order applies: (i) these Self-Serve Terms; (ii) the Plan Details; (iii) the Usage Limitations; (iv) the MSA; (v) the SLA. If the Plan Details shown at checkout differ from the pricing page, the Plan Details shown at checkout at the time of purchase prevail. In all other respects the MSA prevails as provided in it.
1.4 Authority. The person accepting these Self-Serve Terms on behalf of a company or other entity represents that they are authorized to bind it, and that entity is the “Customer”. A person who accepts without that authority is personally responsible for the charges incurred through the Account, to the extent permitted by law.
1.5 Business use only. The Self-Serve Plan is offered only to businesses and for business purposes. Customer represents and warrants that it is subscribing for business or commercial purposes and not as a consumer. Port may suspend or terminate any Account that Port reasonably believes is used by a consumer or by an individual not acting in a business capacity.
1.6 Existing agreements. If Customer or its affiliate has a separately signed agreement or Order with Port covering the same Services, that signed agreement governs the Account it covers, and these Self-Serve Terms govern only Accounts created through online checkout. Nothing in these Self-Serve Terms amends a signed agreement.
2. Contracting Port Entity
2.1 Contracting Port entity. The Port entity that is party to the Agreement (“Port”) is either Port IO Ltd., a company incorporated in Israel, or Port Inc., a Delaware corporation, as assigned by Port and identified on each invoice based on the Customer location
2.2 Port entity references and service providers. References in the MSA to “the Port entity identified in the applicable Order” mean the entity determined under Section 2.1. Governing law and jurisdiction are as provided in Section 15 of the MSA for the Port entity so determined. Port may use affiliates and payment service providers to process payments and issue invoices on its behalf.
3. Plans, Subscription Fee and Billing Period
3.1 Plan and Billing Period. At checkout Customer selects a plan, as described in the Plan Details (the “Plan”). The “Billing Period” is a calendar month beginning on the first day of that month; the first Billing Period runs from the Effective Date to the end of that calendar month and the Subscription Fee for it is prorated accordingly. Each Billing Period is also a Measurement Period under the Usage Limitations. The Plan determines the subscription fee for each Billing Period (the “Subscription Fee”), the quantities of Seats, Entities and Runs included (which constitute the “Licensed Limits” under the Usage Limitations), and the Product Tier under the SLA. The then current SLA applies to the Self-Serve Plan as published, with each paid Plan treated as the Basic/Standard Product Tier (or its equivalent under the SLA), except that the Onboarding Success Services described in Section 7 of the SLA and the Success Plans (Silver, Gold and Diamond) do not apply to the Self-Serve Plan. Service Credits under Section 8 of the SLA are available only to customers on the Enterprise Product Tier and do not apply to the Self-Serve Plan.
3.2 Billing and monthly invoice. The Subscription Fee, being the base fee for the Plan and its Licensed Limits, is charged in advance on the first day of each Billing Period. Port issues one invoice on the first day of each Billing Period combining (a) the Subscription Fee for the Billing Period then beginning and (b) usage-based charges and Overage for the preceding Billing Period, charged in arrears, each shown as a separate line item. The Subscription Fee for the first Billing Period is charged on the Effective Date and prorated under Section 3.1.
3.3 Usage-based charges. Usage in excess of the Licensed Limits (“Overage”) is measured and charged as set out in the Usage Limitations and charged in arrears at the rates in the Plan Details, including any block size for Runs and Entities. Section 4.2 of the Usage Limitations applies, except that Overage is invoiced monthly in arrears under Section 3.2 and not on a quarterly true-up basis.
4. Payment Method and Authorization
4.1 Payment method. Customer must provide and maintain a valid credit card or other payment method accepted by Port (the “Payment Method”). Payments are processed by Port's third-party billing and payment service providers.
4.2 Authorization. Customer authorizes Port and its payment service provider to charge the Payment Method for: (a) the Subscription Fee for each Billing Period, including on each renewal; (b) Overage and any other usage-based charges; (c) applicable taxes; and (d) any other amounts due under the Agreement, in each case on the dates and in the amounts determined under these Self-Serve Terms, without further notice or approval, until the paid Plan has ended in accordance with these Self-Serve Terms and all amounts due have been paid. Customer confirms that it is authorized to use the Payment Method.
4.3 Accurate information. Customer must keep its billing details, billing email and Payment Method accurate and current. Port may use card-updater services offered by card networks to refresh expired or replaced cards.
4.4 Currency. Charges are in United States Dollars unless the Plan Details explicitly state otherwise.
4.5 Receipts. Port will make a receipt or invoice available electronically for each charge. The wire transfer, 30-day invoice payment period and late-payment interest provisions of Section 5 of the MSA do not apply to amounts charged to the Payment Method; they apply only if and to the extent Port agrees in writing to invoice Customer.
5. Failed Payments, Suspension and Chargebacks
5.1 Failed payments. If a charge is declined, fails or is reversed, Port may retry the charge and notify Customer by email or in-app message. If the amount remains unpaid ten (10) days after the first notice, Port may suspend access to the Port Platform under Section 11.2 of the MSA until payment is made. Suspension under this Section does not close the Account or terminate the Agreement.
5.2 Chargebacks and payment disputes. If Customer disputes a charge, Customer must first notify Port in accordance with Section 7 and allow Port a reasonable opportunity to resolve it before initiating a chargeback or payment dispute with its card issuer. If Customer initiates a chargeback, Port may suspend the Account pending resolution. To the extent the charge was valid, Customer remains liable for the disputed amount and will reimburse any chargeback or similar fees imposed on Port.
5.3 Continuing liability. Suspension or termination for non-payment does not relieve Customer of its obligation to pay amounts accrued.
5.4 Payment obligations outside liability cap. Notwithstanding Section 10.4 of the MSA, the limitation of liability does not limit Customer's obligation to pay Fees due under the Agreement.
6. Taxes
6.1 Taxes. Fees are exclusive of VAT, sales tax and other taxes, which Port will add where required by law and which are payable by Customer, as provided in Section 5 of the MSA. Customer must provide accurate billing country and, where applicable, tax registration details at checkout. Customer is responsible for any withholding taxes in accordance with Section 5 of the MSA. If Customer is exempt from any tax, it must provide a valid exemption certificate or tax registration number (for example, a VAT ID) through its Account or to Port's billing contact; the exemption applies on a going-forward basis from Port's approval, and if an authority determines that Customer is not exempt, Customer will pay the tax and any related interest or penalties.
7. Disputed Charges
7.1 Notice of disputed charges. Customer must notify Port in writing (including by email to the support or billing contact stated in the Plan Details) of any dispute regarding a charge, including usage data or Overage, within thirty (30) days of the charge date shown on the receipt. Absent timely notice, the charge is deemed accepted. The parties will work in good faith to resolve disputes. Undisputed amounts remain payable.
8. Price and Plan Changes
8.1 Price changes. Port may change the Subscription Fee, Overage rates and Plan Details on at least 30 days' prior notice to Customer under Sections 12.1 and 13.1. A change applies from the start of the next monthly Billing Period beginning after the notice period and does not affect any Billing Period already begun or paid for.
8.2 Upgrades. Customer may upgrade to a higher Plan at any time in its account settings. The upgrade takes effect immediately, and Port will charge a pro-rated Subscription Fee difference for the remainder of the current Billing Period.
8.3 Downgrades. Downgrades from one paid Plan to another paid Plan are not supported. Customer may downgrade to the Free Plan (as defined below) through the link in its account settings to Port's hosted checkout. A downgrade takes effect at the end of the current Billing Period (the end of the calendar month), and no refund or credit note is given for the unused part of that Billing Period. From the first day of the following Billing Period, the free-tier limits (including Seats and usage) apply to the Account, and Port may immediately limit, restrict or suspend access to users, data or usage above those limits, as provided in Section 9.6.
8.4 No carry-over. Licensed Limits do not roll over between Measurement Periods, as provided in the Usage Limitations.
9. Term, Renewal, Cancellation, Free Plan and Refunds
9.1 Term and automatic renewal. Notwithstanding Section 11.1 of the MSA, the Self-Serve Plan begins on the Effective Date and renews automatically on the first day of each calendar month for successive monthly Billing Periods (each a “Renewal Term”), at the then-current Subscription Fee, unless Customer cancels before the end of the then-current Billing Period.
9.2 Cancellation of a paid Plan by Customer. Customer may cancel its paid Plan at any time through the link in its account settings to Port's hosted checkout or by notice to Port. Cancellation takes effect at the end of the then-current Billing Period, and Customer may continue to use the Port Platform until then. Customer remains liable for the Subscription Fee for the current Billing Period and for accrued Overage up to the end of the Billing Period, and no refund or credit note is given for the unused part of that Billing Period. Notice of at least thirty (30) days required by Section 11.1 of the MSA does not apply to Self-Serve Plans. Cancellation of a paid Plan is not a termination of the Agreement or a closure of the Account; the Account moves to the Free Plan under Section 9.6.
9.3 Fees non-refundable. Except as expressly provided in Section 9.4 below, the MSA or as required by applicable law, Subscription Fees, usage-based charges and other amounts paid are non-refundable and no credits or credit notes are given, including for any unused part of a Billing Period and including on a downgrade to the Free Plan or a cancellation.
9.4 Refunds where Port terminates or is at fault. If Port terminates the Self-Serve Plan for convenience or discontinues the Plan (other than for Customer's breach, non-payment, suspected fraud, security risk, sanctions or legal compliance), or terminates under Section 10.6(c) of the MSA, Port will refund the pre-paid Subscription Fee attributable to the period after the termination date, calculated pro rata. The same pro-rata refund applies if Customer terminates the Self-Serve Plan because Port has materially breached the Agreement and failed to cure within thirty (30) days after written notice from Customer.
9.5 Closure of the Account and termination of the Agreement. Section 11.3 of the MSA applies. Accrued and unbilled Overage up to the effective date of termination (or, where Customer cancels under Section 9.2, up to the end of the Billing Period in which the cancellation takes effect, and, for the avoidance of doubt, not the date of the cancellation request) becomes due and may be charged to the Payment Method. Provided Customer has paid all amounts due, Customer may export its Customer Data through the Port Platform's export functionality or APIs for thirty (30) days after the effective date of termination or expiry; after that period Port may delete Customer Data in accordance with its data retention policy and the DPA.
9.6 Free Plan. Cancellation of a paid Plan under Section 9.2 or a downgrade under Section 8.3 moves the Account to Port's free plan (the “Free Plan”), with effect when the cancellation takes effect under Section 9.2 or the downgrade takes effect under Section 8.3, without closing the Account or terminating the Agreement. The Free Plan is subject to the free-tier limits published by Port. The Free Plan is provided “as is”, and Port makes no commitment regarding the availability, functionality or performance of the Port Platform or the Services under the Free Plan. The SLA, service credits and the Support Services do not apply to the Free Plan. Port may immediately limit, suspend or restrict access to users, data or features above the free-tier limits following a move to the Free Plan, and may modify, suspend or discontinue the Free Plan at any time, with or without notice. Port's total aggregate liability arising out of or relating to the Free Plan, including under any indemnity by Port, will not exceed US$1,000, and the exceptions in Section 10.4 of the MSA continue to apply.
9.7 Usage threshold. The Self-Serve Plan is intended for usage of up to 100,000 Entities or 4,000 Runs in a Measurement Period, aggregated across all Accounts of Customer and its affiliates (the “Self-Serve Intended Threshold”). If usage exceeds the Self-Serve Intended Threshold, Port may, at its discretion, notify Customer that it should enter into a separately signed agreement or Order with Port. Exceeding the Self-Serve Intended Threshold does not by itself limit, suspend or change the Self-Serve Plan, and usage continues to be available and charged under these Self-Serve Terms.
10. Usage Controls and Customer Responsibility
10.1 Usage monitoring and early payment. Port may monitor usage and may apply rate limits or usage thresholds. Where Port reasonably determines that usage is materially above the Licensed Limits, that there is a risk of fraud or abuse, or that there is a risk of non-payment, Port may charge accrued usage-based charges earlier than the first day of the following calendar month, and may require Customer to update or replace its Payment Method. Where a payment fails or is reversed, suspension of access is as provided in Section 5.1, and where Port reasonably determines that there is a risk of fraud or abuse or a risk of non-payment, Port may suspend or restrict access to the Account. Port will deal with each such case at its discretion and on a case-by-case basis. Port is not required to apply any of these measures, and a failure or delay in doing so does not waive its right to do so later or Customer's obligation to pay. Port may refuse to open a new Account for a Customer that has unpaid amounts owing. Unless expressly stated in the Plan Details, Port does not provide spend caps or usage alerts, and usage-based charges are not capped.
10.2 Multiple Accounts. Customer may not create or use multiple Accounts to circumvent Licensed Limits, Plan restrictions or Fees.
10.3 Automated and AI usage. Customer is responsible for all usage of the Port Platform, and all resulting Overage and other charges, generated through its Account, API keys, tokens, service accounts, automations, integrations, AI agents and any third-party tools or services that Customer or its Authorized Users enable to access the Port Platform, whether or not Customer intended or monitored such usage. Customer should configure appropriate limits and permissions and promptly notify Port of suspected unauthorized or runaway usage.
10.4 Customer indemnity. Customer will defend and indemnify Port and its affiliates against third-party claims arising from (a) Customer Data, including a claim that Customer Data or Customer's provision of it infringes or violates third-party rights or applicable law; or (b) Customer's integrations, connected third-party systems or tools, or Customer's use of the Port Platform in violation of Section 6 of the MSA or this Agreement. The notice, control and cooperation conditions in Section 10.5 of the MSA apply to this indemnity mutatis mutandis.
11. Eligibility and Compliance
11.1 Sanctions and export compliance. Customer represents that it, its owners and its Authorized Users are not subject to the sanctions or export restrictions described in Section 13 of the MSA. Port may screen sign-ups, restrict access from restricted territories, and refuse or terminate a subscription as provided in Section 13.4 of the MSA.
12. Electronic Communications and Notices
12.1 Notices from Port. Customer consents to receive notices, receipts, invoices and other communications electronically, by email to the address in its Account or through the Port Platform. Notices from Port are deemed given on the business day following transmission. Customer must keep its email address current.
13. Changes to the Terms, SLA and Usage Limitations
13.1 Updates. Port may update these Self-Serve Terms, the SLA, the Usage Limitations, the Plan Details and other incorporated policies by posting the updated version. Port will notify Customer by email or in-app message of any update that is materially adverse to Customer. Updates that are not materially adverse to Customer take effect on posting or, if later, the effective date stated in the posting; a change that is materially adverse to Customer, including a change under Section 8.1, takes effect on the first day of a calendar month that is at least thirty (30) days after the notice, except that Port may make an update effective on shorter notice, or immediately, to the extent reasonably necessary to comply with applicable law or a legal or regulatory requirement, or to address a security risk or vulnerability. Section 15 of the MSA (amendments in a signed writing) does not apply to such updates.
13.2 Customer's right to cancel. If Customer does not agree to a change that is materially adverse to it, Customer may cancel before the effective date in accordance with Section 9.2. Continued use after the effective date constitutes acceptance.
14. Records of Acceptance
14.1 Electronic records. Customer agrees that Port's electronic records of acceptance of these Self-Serve Terms (including timestamp, account, IP address and the version accepted) are admissible and constitute evidence of Customer's agreement. These Self-Serve Terms are an electronic contract and require no signature.
15. General
15.1 General provisions and survival. Section 15 of the MSA (General) applies to these Self-Serve Terms. If any provision of these Self-Serve Terms is invalid, the remainder remains in effect. Sections 4, 5, 6, 7, 9.3, 9.4, 9.5, 10.3 and 10.4 survive termination.
